1. Introduction and Acceptance of Terms

These Terms of Service (the “Terms”) govern your access to and use of the services, facilities, equipment, website, and related offerings provided by North Shore Vlog Studio (“North Shore Vlog Studio,” “we,” “us,” or “our”). By booking, accessing, purchasing, or using any service offered by North Shore Vlog Studio, you agree to be bound by these Terms and all applicable laws and regulations of Canada, including applicable provincial and federal laws in British Columbia.

If you do not agree to these Terms, you must not use our services or facilities. If you are using our services on behalf of a business or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms.

Any service description, estimate, or schedule is subject to availability and may be modified by North Shore Vlog Studio at our discretion, subject to applicable law and any written agreement with you.

We do not guarantee that any particular outcome, audience growth, commercial success, or technical result will be achieved through use of our services.

3. User Obligations and Responsibilities

You agree to use our services responsibly and in compliance with all applicable laws, regulations, and studio rules. Without limiting the foregoing, you agree that you will:

You are responsible for any loss, damage, cleanup costs, repair costs, replacement costs, or additional charges resulting from your acts or omissions, or those of your guests, contractors, cast, crew, or representatives.

4. Payment Terms and Conditions

All fees, rates, deposits, taxes, and payment terms will be disclosed at the time of booking, quotation, invoice, or written agreement. Unless otherwise stated, all amounts are in Canadian dollars (CAD).

We reserve the right to refuse or suspend services if payment is not received when due.

5. Cancellation and Refund Policy

Cancellations and rescheduling requests are subject to the policy communicated at booking or in your written agreement. If no specific policy is stated, the following default policy applies:

North Shore Vlog Studio may cancel or reschedule services due to safety concerns, equipment failure, staff unavailability, building issues, force majeure, or other circumstances beyond our reasonable control. In such cases, our liability is limited to rescheduling the service or refunding the amounts paid for the affected portion of the service, at our discretion and as required by law.

6. Liability Limitations

To the fullest extent permitted by applicable law, North Shore Vlog Studio, including its owners, directors, officers, employees, contractors, and agents, shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of revenue, loss of data, business interruption, reputational harm, or loss of opportunity, arising out of or related to your use of our services.

To the fullest extent permitted by law, our total aggregate liability for any claim arising out of or relating to the services shall not exceed the amount paid by you to North Shore Vlog Studio for the specific service giving rise to the claim during the three (3) months preceding the event giving rise to the claim, or CAD $500, whichever is greater, except where a greater liability cannot be excluded or limited under applicable law.

Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, gross negligence where such limitation is prohibited, or any liability that cannot be excluded under applicable Canadian law.

You acknowledge that studio activities may involve inherent risks, including but not limited to slips, trips, falls, equipment-related injury, electrical hazards, and property damage. You assume all risks associated with your participation and the participation of your guests, cast, crew, and contractors, except to the extent caused by our gross negligence or wilful misconduct where liability cannot lawfully be excluded.

7. Intellectual Property Rights

Unless otherwise agreed in writing, all intellectual property rights in North Shore Vlog Studio’s pre-existing materials, branding, templates, workflows, studio designs, equipment configurations, software, and proprietary methods remain the exclusive property of North Shore Vlog Studio or its licensors.

Subject to full payment of all applicable fees, you will own the final deliverables specifically created for you only to the extent expressly stated in a written agreement or invoice. If no written transfer of rights is provided, North Shore Vlog Studio retains all rights not expressly granted to you, including rights in underlying tools, raw project files, project templates, and pre-existing materials.

You grant North Shore Vlog Studio a non-exclusive, worldwide, royalty-free license to use, reproduce, display, and store any content you provide to us solely for the purpose of delivering the services, maintaining records, and operating our business.

Unless you notify us in writing otherwise before the relevant session or project, you authorize North Shore Vlog Studio to use non-confidential behind-the-scenes images, clips, or excerpts of your project for portfolio, marketing, and promotional purposes, provided such use does not disclose confidential information or violate any applicable law. You may revoke this permission in writing for future uses, subject to any content already published or legally required retention.

You represent and warrant that any materials you provide to North Shore Vlog Studio do not infringe the rights of any third party and that you have all necessary permissions to use them.

8. Data Protection and Privacy

North Shore Vlog Studio collects, uses, discloses, and retains personal information in accordance with applicable Canadian privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable British Columbia privacy legislation, as applicable.

We may collect personal information such as your name, contact details, booking information, payment information, communications, and content-related preferences. We use this information to:

9. Force Majeure

North Shore Vlog Studio shall not be liable for any delay, failure, or interruption in performance caused by events beyond our reasonable control, including but not limited to acts of God, fire, flood, earthquake, severe weather, power outages, internet failures, labour disputes, government actions, public health emergencies, war, terrorism, civil unrest, supply chain disruptions, equipment failure not caused by our negligence, or building access restrictions.

If a force majeure event occurs, we may suspend, modify, or cancel affected services without liability, except for any refund or rescheduling obligation required by law or expressly stated in a written agreement.

10. Changes to Terms

We may update or modify these Terms from time to time at our discretion. The updated Terms will be effective upon posting on our website or otherwise communicating them to you, unless a later effective date is stated.

Your continued use of our services after any changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using our services.

11. Applicable Law and Jurisdiction

These Terms and any dispute, claim, or controversy arising out of or relating to them, your use of our services, or any related transaction shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.

You agree that the courts located in Vancouver, British Columbia shall have exclusive jurisdiction over any dispute arising from or relating to these Terms, subject to any mandatory consumer protection or other non-waivable rights under applicable law.

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be severed or modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect to the fullest extent permitted by law.

Failure by North Shore Vlog Studio to enforce any right or provision under these Terms shall not constitute a waiver of such right or provision unless acknowledged in writing by North Shore Vlog Studio.
